Notice of Special General Meeting of the Membership of CIM

Dear CIM Member,

Please take note that a Special General Meeting of the Members of the Canadian Institute of Mining, Metallurgy and Petroleum (CIM) will be held in Room 516C of 1001, Place Jean-Paul-Riopelle, Montréal, QC, H2Z 1H5 on Sunday, April 30th, 2017 at 12 noon to:

  1. Approve a proposed change to clause 7.1c of CIM By-Laws;
  2. Approve a proposed change to clause 21.0 of CIM By-Laws.

Life Member By-Law

CIM currently has 1,500 Life Members (LM), a number that is rapidly increasing. To date, Life Membership has been free. However, given that membership revenues remain a significant pillar for CIM viability, this practice has become unsustainable in light of increasing expenses to service and administer membership, to remain current with changing technology, and remain compliant with ever-increasing regulations. In November 2016 the CIM Council approved the introduction of a token fee for LM’s commencing early 2017: $50/year for 2017 and $100/year thereafter

As of March, 2017, 400 LM’s have paid, and many for two and three years ( at the rate of $50 per year).We also benchmarked this practice with other similar organizations, such as SME, IOM3 & AusIMM, none of which offer such free membership.

It should be noted that:

  • Clause 7.5 allows CIM Council to change membership fees
  • Clause 7.1c refers to Life Members being exempt
  • There is no cross reference between the two clauses
  • The MOTION presented is to remove LM fee exemption in clause 7.1c

The two motions to be proposed at the Special General Meeting are the following:

Life Member By-Law Proposed Changes

From Old Clause:

Clause 7.1c: A ‘Life Member’ shall be any person whose years of membership added to his own age total a sum of one hundred (100) or more. A Life Member shall be exempt from paying further annual dues for the membership years after such person becomes a Life Member, and shall have full rights to vote in the affairs of the Institute and otherwise enjoy the benefits of membership as from time to time defined by resolution of the Council.

To New Clause:

Clause 7.1c: A ‘Life Member’ shall be any person whose years of membership added to his own age total a sum of one hundred (100) or more. A Life Member will be subject to the membership fee as set by Council.  In addition the Life Member shall have full rights to vote in the affairs of the Institute and otherwise enjoy the benefits of membership as from time to time defined by resolution of the Council.

Amendment of By-Law Proposed Changes

From Old Clause:

Clause 21.0: This by-law or any portion thereof may be repealed or amended by by-law enactment supported by the affirmative vote of at least three quarters (3/4) of the incumbent Directors, including each member of the Executive Committee, and shall hold force and effect until it is sanctioned by an affirmative vote of at least two-thirds (2/3) of the Members at a meeting duly called for the purpose of considering the said by-law or by electronic polling of the membership through such procedure as may be determined by Council. If such by-law enactment is not so sanctioned it shall cease to hold force and effect, immediately the resolution proposing such amendment is defeated.

To New Clause:

Clause 21.0: This by-law or any portion thereof may be repealed or amended by by-law enactment supported by the affirmative vote of at least  50% plus one (50%+1) of the incumbent Directors, including each member of the Executive Committee, and shall hold force and effect until it is sanctioned by an affirmative vote of at least 50% plus 1 (50%+1)  of the Members at a meeting duly called for the purpose of considering the said by-law or by electronic polling of the membership, who so voted,  through such procedure as may be determined by Council. If such by-law enactment is not so sanctioned it shall cease to hold force and effect, immediately the resolution proposing such amendment is defeated.

As required by Clause 21.0 notice of this meeting and proposed changes have been supported by the required affirmative vote of members of CIM council during a meeting held on March 08, 2017.
