First Phosphate Corp. Signs Long-term Offtake Agreements and to Pursue Interest from Financial Partner

SAGUENAY, QUEBEC – (December 18, 2024) – First Phosphate Corp. (“First Phosphate” or the “Company”) (CSE: PHOS) (OTCQB: FRSPF) (FSE: KD0) is pleased to announce that, yesterday, the Company signed two long-term offtake agreements with creditworthy offtake partners (the “Purchasers”) with respect to its future productions to take place in Saguenay-Lac-St-Jean, Quebec, Canada, thereby de-risking its future projects and enhancing their prospective financing.

In addition, the Company is now entering the next phase of discussions with the Pekuakamiulnuatsh First Nation (the “First Nation”) regarding a possible financial involvement in the Company, as provided for in the collaboration agreement signed by the First Nation and the Company on April 9, 2024.

The definitive terms of the offtake agreements shall be finalized in separate agreements to be entered into between the parties.  The agreements contain termination rights by the Purchasers if the first delivery of product is not made by a certain date unless the parties agree to an extension as well as other normal course termination provisions.  The commencement of the industrial operations proposed by the Company are subject to a number of conditions, including permitting and financing which the Company continues to work towards diligently.

First Phosphate Corp. signe des accords d’achat de long terme et poursuivra l’intérêt d’un partenaire financier

SAGUENAY, QUÉBEC – (18 décembre 2024) – First Phosphate Corp. (« First Phosphate » ou la « Société ») (CSE : PHOS) (OTCQB : FRSPF) (FSE : KD0) est heureuse d’annoncer que, hier, la Société a signé deux accords d’achat à long terme avec des partenaires crédibles (les « Acheteurs ») concernant ses futures productions qui auront lieu au Saguenay-Lac-St-Jean, Québec, Canada, réduisant ainsi les risques liés à ces projets futurs et améliorant leurs perspectives de financement.

En outre, la Société amorce maintenant la prochaine phase de discussions avec la Première Nation des Pekuakamiulnuatsh (la « Première Nation ») en regard d’une éventuelle implication financière dans la Société, tel que prévu dans l’entente de collaboration signée entre la Première Nation et la Société le 9 avril 2024.

Les modalités définitives des accords d’achat seront finalisées dans des accords distincts entre les parties. Les accords prévoient des droits de résiliation par les Acheteurs si la première livraison du produit n’a pas lieu avant une certaine date, sauf si les parties conviennent d’une prolongation, ainsi que d’autres dispositions de résiliation habituelles. Le démarrage des opérations industrielles proposées par la Société est soumis à plusieurs conditions, notamment l’obtention de permis et le financement, que la Société continue de poursuivre activement.
